Terms and Conditions

This agreement applies as between you, the User of this platform and Respect Collective Pty Ltd, the owner(s) of this platform. If you do not agree to be bound by these Terms and Conditions, you should stop using the platform immediately.

No part of this platform is intended to constitute a contractual offer capable of acceptance. Your order constitutes a contractual offer and Our acceptance of that offer is deemed to occur upon Our sending a confirmation email to you indicating that your order has been accepted.

1. Welcome

1.1 Welcome to the Respect Collective: RSE for the Real World Curriculum (the “Curriculum”), a platform that has Relationships and Sexuality Education lesson videos, scripts and resources that are ready to use whenever you need them.
  
1.2 The Curriculum is brought to you by inyourskin (ABN: 73 604 434 611) and Open Book Project (ABN: 20 615 162 19) known herein as Respect Collective (ABN: 19 670 342 097). Access and usage of the Curriculum is governed by these terms and conditions.  

1.3 For schools, by continuing to purchase a Subscription or access the Curriculum, you represent and warrant that both the school/organisation itself plus all staff to whom the school allows access to the Curriculum, agree to be bound by these terms.

1.4 For individual staff members accessing the Curriculum, you agree that, by accessing the Curriculum, you are bound by these terms.  

1.5 If you do not agree with the terms, please stop accessing the Curriculum immediately. Naturally, if you have any questions at all, please contact our team info@respectcollective.com.au

2. Subscription to use the Curriculum

2.1 The Curriculum comprises a range of pre-recorded materials, professional development sessions and printable resources which are described in detail on the website.

2.2 In order to access the Curriculum, the school must first purchase an annual subscription by selecting the correct plan based on the size of the school. This subscription provides additional licences for staff within that school who must all abide by these terms and conditions.

2.3 In purchasing the Subscription, the school acknowledges and agrees that it is the school’s responsibility to ensure that the school’s chosen Subscription is suitable for the school’s use.

2.4 All Subscriptions are non-transferable and non-refundable.

2.5 As part of the registration process, or as part of each user’s continued use of the Curriculum, you may be required to provide personal information about yourself and information about your school. That information is governed by our privacy policy which can be found on the website.

2.6 The person that is purchasing the Subscription on the school’s behalf warrants:
  i) that any information given to us in the course of completing the registration process will always be accurate, correct and up to date; 
  ii) that they are duly authorised to agree to these terms on behalf of the school.

2.7 Once the school’s annual Subscription Fee has been paid, the registering person will be responsible for the allocation of the purchased licences. They will be known as the 'Manager'. Following allocation of licences, those staff members will individually register using the unique link provided in the confirmation email. They will then be registered members of the Curriculum (each a “Member”). Members will be granted access to the Curriculum platform during the subscribed school’s 12-month subscription period, which commences on the date of payment of the Subscription Fee (the “Subscription Period”).

2.8 Renewal of Subscriptions will be as follows:
i) the system is set to auto renew on all annual subscriptions

ii) approximately 14 days prior to the renewal of the school’s current Subscription Period, we will send a renewal reminder for the Subscription Fee applicable to the upcoming Subscription Period;

iii) if the school does not wish to renew the Subscription, the financial account that originally subscribed can login and cancel the subscription, this results in the automatic un-enrolment from the Curriculum in the next billing cycle. Until then, the subscription is scheduled for cancellation, as the school has paid for that billing cycle.

iv) at the end of each subscription cycle, the educator licences will expire. The Manager will be issued with new licences to allocate for the new subscription period.

2.9 These terms will apply equally to each renewed Subscription Period, subject to treatment of the Subscription Fee which is discussed further in section 4.

2.10 We reserve the right to cancel individual memberships or suspend or terminate a school’s ongoing access to the Curriculum if any individual Member or the school breaches these terms or if the conduct of an individual Member or school impacts our goodwill or reputation.

3. Obligations of Schools, Managers and Members

The subscribing school and all Managers and Members agree to comply with the following:

3.1 You will use the Curriculum only for purposes that are permitted by:
     i) these terms; and
     ii) applicable laws;

3.2 You have the sole responsibility for protecting the confidentiality of your password. Use of your password by any other person may result in the immediate cancellation of an individual membership and or the school’s Subscription.

3.3 Any use of your registration information by any other person, or third parties, is strictly prohibited. Please notify us immediately of any unauthorised use of your password or any breach of security of which you have become aware; and

3.4 You may only use the Curriculum resources and other information that we provide to you for educational purposes within the subscribed school. You must not use such resources or information for any commercial endeavours, except with our prior written agreement, and individual Members must not continue to access the Curriculum or otherwise use our information and resources at schools or organisations that do not hold a valid Subscription.

3.5 The subscribing school and all Managers and Members acknowledge and agree that the Curriculum and its resources represent the culmination of extensive education, research and experience. While we are incredibly proud to share these insights, tools, and learnings to improve the sexual health and wellbeing for all humans, we can only do so if all subscribing schools and Members help protect our intellectual property.

3.6 All content forming part of the Curriculum or that we otherwise provide is the property of Respect Collective and is protected by Australian and international copyright laws. You must not reproduce, transmit, republish or prepare derivative works from any of our content, except as expressly authorised by these terms and conditions, as we may otherwise specify in the Curriculum, on our website, or with our prior written consent.

3.7 You may only download and print out content specifically indicated as downloadable from the Curriculum for educational and non-commercial use only within the subscribing school only, provided that you do not remove or modify any copyright, trademark or other proprietary notices. It is your responsibility to check the Curriculum for any updates of resources at the commencement of a new subscription period.

4. Payments and refunds

4.1 Our Subscription Fees are displayed on our website in Australian dollars and exclude GST unless otherwise stated. GST is automatically added at checkout. 

4.2 The subscribing school’s annual Subscription Fee must be paid on time. Failure to make payment in accordance with these terms will result in access to the Curriculum being removed.

4.3 Where the option is given to you, you may make payment of the Subscription Fee by way of:
     i) Credit card; or
     ii) Stripe.

4.4 By electing to make payment via Stripe you agree to be bound by the privacy policy and terms and conditions of those external payment gateways (including any fees or administration costs associated with payments made (or denied) via those systems). We are not responsible for any additional fees that you may incur due to failed payments, and we reserve the right to pass to you the cost of any additional bank fees which may arise from disputed or failed transactions.

4.5 The Subscription Fee will not be increased during any renewed Subscription Period falling within the first 3 years of the Subscription (please note that the Subscription Fee will be adjusted to account for different student numbers and as required to reflect any optional teacher and parent sessions that the school elects in the coming Subscription Period). Following that initial 3-year period, the Subscription Fee will be as reflected on our website.

4.6 We will only provide the subscribing school with a refund of the Subscription Fee in the event that we are unable to continue to provide the Curriculum or if we otherwise decide, in our sole discretion. Where this occurs, the refund will be in the proportional amount of the Subscription Fee that remains unused.

5. Links to Other Websites

The Curriculum may contain links to other sites. Unless expressly stated, these sites are not under the control of Respect Collective Pty Ltd or that of our affiliates. We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

6. Use of Communications Facilities

6.1 When using any System on the Website you should do so in accordance with the following rules. Failure to comply with these rules may result in your Account being suspended or closed:
i) You must not use obscene or vulgar language;

ii) You must not submit Content that is unlawful or otherwise objectionable. This includes, but is not limited to, Content that is abusive, threatening, harassing, defamatory, ageist, sexist or racist;

iii) You must not submit Content that is intended to promote or incite violence;

iv) It is advised that submissions are made using the English language as we may be unable to respond to enquiries submitted in any other languages;

v) The means by which you identify yourself must not violate these Terms and Conditions or any applicable laws;

vii) 
You must not impersonate other people, particularly employees and representatives of Respect Collective  or Our affiliates; an

viii) You must not use Our System for unauthorised mass-communication such as "spam" or "junk mail".

7. General Disclaimer

7.1 Nothing in these terms and conditions limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law (or any liability under them) which cannot lawfully be limited or excluded.

7.2 To the extent permitted by law:
i) all terms, guarantees, warranties, representations or conditions which are not expressly stated in these terms are excluded;

ii) we are not responsible or liable for any misuse of the Curriculum resources, lesson videos or scripts. Talking about sexuality can be sensitive and complex for some school communities. The subscribing school, the Manager and the Members are solely liable for ensuring that the Curriculum resources and their use is appropriate for the school’s particular community and that all staff have undertaken the relevant, recommended readings and training;

iii) we will not be liable for any special, indirect or consequential loss or damage, loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Curriculum, your Subscription or these terms; and

iv) our total liability arising out of or in connection with the Curriculum, your Subscription or these terms will not exceed an amount equal to the Subscription Fee that you have paid to us.

8. The boring legal stuff

8.1 You cannot assign these terms and conditions.

8.2 We each agree that this agreement is fair and reasonable and if anything is found to be void, voidable or unenforceable, it will be taken to be severed from these terms.

8.3 Any failure, delay, or omission by us to exercise any power or right under these terms will not operate as a waiver of that power or right.

8.4 These terms are governed by and are to be construed and take effect in accordance with the laws of Queensland and South Australia. Each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Queensland and South Australia.

8.5 We will not have any liability under or be deemed to be in breach of these terms for any delays or failures in performance of these terms which result from circumstances beyond our reasonable control.

8.6 While we are confident that no disputes will arise under or in relation to these terms, to the extent that any dispute or difference of opinion does arise, we each agree to meet to discuss the matter at a mutually convenient time (not more than 14 days following notification of the dispute) and place to discuss and resolve the matter. We must each act in a respectful manner and in good faith in negotiating any matters of dispute.
